Welcome to Thirdex. These Terms and Conditions ("Terms") govern your access to and use of the Thirdex customer relationship management platform ("Service", "Platform") operated by Thirdex ("Company", "we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
Important: Our Service is designed specifically for UK-based charities, non-profit organisations, social enterprises, and faith-based organisations. By using our Service, you confirm that your organisation operates within this scope.

Throughout these Terms, the following definitions apply:
Account Registration
3.1 Eligibility
To use our Service, you must be at least 18 years old, have the authority to bind your Organisation to these Terms, and ensure your Organisation is a registered charity, non-profit, social enterprise, or similar entity operating in the United Kingdom.
3.2 Account Security
You are responsible for safeguarding the password and credentials used to access your Account. You agree to notify us immediately of any unauthorised access or use of your Account. We recommend enabling two-factor authentication where available and using strong, unique passwords.
3.3 Account Accuracy
You must provide accurate, current, and complete information during registration and keep this information updated throughout your use of the Service.
Services Description
4.1 Platform Features
Thirdex provides a cloud-based CRM platform designed for the non-profit sector. Our Service includes:
- Donor management and relationship tracking
- Beneficiary journey tracking
- Impact reporting and analytics
- Team collaboration tools
- Integration capabilities with third-party services (Mailchimp, Xero, QuickBooks, Stripe, GoCardless, Eventbrite, JustGiving, Microsoft 365)
- Secure data storage compliant with UK GDPR
4.2 Service Availability
We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access and may occasionally need to perform maintenance or updates. We will provide reasonable notice of planned maintenance where possible.
4.3 Third-Party Integrations
Our Service integrates with various third-party platforms. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or functionality of third-party services.
Subscriptions & Fees
5.1 Pricing
Our subscription fees are set out on our website or in a separate commercial agreement. All fees are quoted in British Pounds Sterling (GBP) unless otherwise stated and are exclusive of VAT where applicable.
5.2 Payment Terms
Subscription fees are payable in advance on a monthly or annual basis, depending on your chosen plan. Payment is due upon invoice and must be made via the payment methods we specify.
5.3 Price Changes
We reserve the right to modify our pricing with at least 30 days' written notice before your next renewal date. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5.4 Refunds
Refunds are provided at our discretion. Annual subscriptions may be eligible for a pro-rata refund if cancelled within the first 30 days. Monthly subscriptions are non-refundable.
Data & Privacy
6.1 Data Ownership
You retain full ownership of all Content you upload to the Service. We do not claim any ownership rights over your data, including Donor Data and Beneficiary Data.
6.2 Data Processing
We process your data in accordance with our Privacy Policy and applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
6.3 Data Security
We implement enterprise-grade encryption and security measures to protect your data:
- Encryption at rest and in transit
- Daily automated backups
- Access controls and audit logging
- Regular security assessments and penetration testing
6.4 Data Portability
You may export your data at any time using our built-in export tools. Upon termination, we will provide you with a copy of your data in a commonly used, machine-readable format upon request.

Acceptable Use Policy
7.1 Permitted Use
You may use the Service only for lawful purposes related to managing your Organisation's charitable, non-profit, or social enterprise activities.
7.2 Prohibited Activities
You agree not to use the Service to:
- Store, transmit, or process any unlawful, harmful, or offensive content
- Violate any applicable laws or regulations including data protection laws
- Infringe upon any third-party intellectual property rights
- Attempt to gain unauthorised access to any part of the Service
- Use the Service to send unsolicited communications (spam)
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or attempt to extract the source code
7.3 User Conduct
You are responsible for ensuring all Users within your Organisation comply with these Terms. Any breach by a User shall be deemed a breach by the Organisation.
Intellectual Property
8.1 Our Rights
The Service, including its original content, features, and functionality, is owned by Thirdex and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
8.2 Limited Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your Organisation's internal purposes during your Subscription Period.
8.3 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us the right to use such feedback without restriction or compensation to you.
Limitation of Liability
9.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 Limitation of Damages
To the fullest extent permitted by law, Thirdex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
9.3 Cap on Liability
Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.
9.4 Essential Terms
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
Termination
10.1 Termination by You
You may terminate your Account at any time by providing written notice to us. Annual subscriptions require 30 days' notice before your renewal date to avoid automatic renewal.
10.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms, fail to pay applicable fees, engage in activities that could harm other users or the Service, or are required to do so by law.
10.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days following termination, during which time you may request an export. After this period, we will delete your data in accordance with our data retention policy.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where appropriate, notifying you by email.
Your continued use of the Service after any changes indicates your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your Account.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
